OnSkillDemand Terms of Use

1. Agreement and Operator

These Terms of Use ("Terms") are a binding agreement between the person or organization using OnSkillDemand ("you" or "Account Holder") and Yurii Kaplunov, a Private Entrepreneur (FOP) registered in Ukraine, doing business as OnSkillDemand ("OnSkillDemand," "we," "us," or "our").

These Terms govern the OnSkillDemand mobile applications, APIs, authentication pages, support features, and other services that link to these Terms (together, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms and the Privacy Policy at https://onskilldemand.com/privacy. If you do not agree, do not use the Service.

If you use the Service for an employer, client, or other organization, you represent that you are authorized to accept these Terms on its behalf. In that case, "you" includes that organization.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement. The Service may be used by individual users and by recruiters, HR professionals, interviewers, hiring managers, businesses, and other organizations.

You may not use the Service if applicable law prohibits you from doing so or if we have previously suspended or terminated your access for a material violation and have not authorized renewed access.

3. Accounts and Authentication

You must provide accurate and current registration and profile information. You are responsible for:

Account email addresses may need to be verified before access is permitted. Password recovery and verification links may expire and may be used only by the intended recipient. You must not share authentication links, access tokens, or credentials with unauthorized people.

We may take reasonable measures to protect accounts, including rate limiting, requiring verification, invalidating sessions, temporarily blocking suspicious activity, or requesting additional confirmation.

OnSkillDemand is an AI-assisted recruitment and structured-interview platform. Depending on the current release, the Service may allow users to:

Features may differ by platform, environment, release, account, or plan. We may add, change, suspend, or discontinue features as the Service evolves. We will use reasonable efforts to avoid materially harmful changes without notice where notice is practical.

5. Customer Data and Responsibility for Third-Party Data

"Customer Data" means information, records, text, evaluations, files, and other content submitted to or generated through the Service for you, including company, vacancy, candidate, interview, and report information.

As between you and OnSkillDemand, you retain ownership of your Customer Data. You grant us a limited, non-exclusive, worldwide license to host, copy, transmit, cache, format, display, process, generate requested output from, export, secure, back up, and otherwise use Customer Data only as reasonably necessary to:

This license ends when the data is deleted, except to the extent data remains temporarily in protected backups or must be retained for security, legal compliance, or claims.

You are solely responsible for the lawfulness, accuracy, quality, and appropriateness of Customer Data and for decisions made using it.

5.1 Candidate and other personal data

Before entering or processing information about candidates, employees, interviewers, customers, or other people, you must:

Do not upload highly sensitive data unless it is strictly necessary, lawful, and appropriately protected. The current Service is not designed to require health, biometric, genetic, religious, political, trade-union, sexual-orientation, government-identifier, financial-account, or criminal-record data.

OnSkillDemand does not independently verify that you have permission to upload third-party data. You remain responsible to affected individuals and authorities for your collection and use of that data.

6. AI-Assisted Features

The Service may use Kimi services provided by Moonshot AI to help draft or summarize vacancies, propose interview rounds and questions, generate suggested answers, and assist with reports or related workflows.

AI features are optional tools. They are not a substitute for professional judgment and do not make final hiring, rejection, compensation, promotion, or other employment decisions. You acknowledge that AI output may be incomplete, inaccurate, outdated, biased, offensive, or unsuitable for a particular person, role, jurisdiction, or purpose.

You must review and, where necessary, edit AI output before relying on or sharing it. You are responsible for:

Do not submit content to an AI feature unless you are authorized to process it for that purpose. OnSkillDemand does not use customer or candidate data to train its own AI models and does not permit its AI providers to use that data to train their models.

AI output is generated in response to user-supplied context and may resemble content generated for others. We do not promise that AI output is unique or eligible for intellectual-property protection.

7. Acceptable Use

You must not use the Service to:

8. Confidentiality

The Service may contain confidential information belonging to users, candidates, companies, or OnSkillDemand. You must protect confidential information using reasonable care, disclose it only to people authorized and required to receive it, and use it only for the purpose for which access was provided.

This obligation does not apply to information that you can demonstrate was already lawfully known without restriction, becomes public without breach, is independently developed without use of confidential information, or is lawfully obtained from another source without a duty of confidentiality. A legally compelled disclosure is permitted if you provide notice where lawful and disclose only what is required.

9. PDF Exports and Device Actions

The Service can generate PDF exports of certain candidates, vacancies, interview questions, and reports. Exports may contain personal or confidential information. Once a file is created, downloaded, stored, or shared through a device, you are responsible for its security, recipients, retention, and deletion.

The Service may open device email, telephone, browser, or sharing features. Your use of those features and third-party applications is governed by their terms and privacy practices.

10. Plans and Future Paid Features

The current Service may display Free, Standard, and Premium plans, features, or prices. Until OnSkillDemand provides an active checkout and expressly confirms a purchase, those displays are informational previews only. They do not create a payment obligation, paid entitlement, renewal, refund right, or subscription contract.

Before enabling paid subscriptions, we may introduce additional commercial terms covering price, taxes, billing cycle, renewal, cancellation, refunds, plan limits, and payment processors. You will be shown those terms before a charge is authorized. Nothing in these Terms limits mandatory consumer rights.

11. Intellectual Property

The Service, including its software, design, branding, documentation, interfaces, models, prompts, compilations, and other materials provided by OnSkillDemand, is owned by OnSkillDemand or its licensors and is protected by intellectual-property law.

Subject to these Terms, we grant you a limited, personal or internal-business, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purposes. No ownership rights are transferred to you.

You may provide suggestions or feedback. If you do, you grant us a perpetual, worldwide, royalty-free right to use that feedback without obligation, provided we do not publicly identify you as its source without permission.

12. Third-Party Services and Links

The Service relies on or may link to third-party services, including hosting, authentication, email-delivery, AI, device, and website services. Third parties may have separate terms and privacy policies. We are not responsible for an independent third party's service, content, availability, or conduct, but we remain responsible for our own obligations under applicable law.

13. Service Availability and Changes

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free availability. Maintenance, security incidents, network failures, provider outages, software defects, force majeure, or other events may interrupt access or affect data synchronization.

We may release updates, change technical requirements, impose reasonable usage limits, or retire features. Users should maintain appropriate copies of information they are legally or operationally required to preserve and should not treat the Service as their only disaster-recovery system.

14. Suspension and Termination

You may stop using the Service at any time. You may request or initiate account deletion through available controls or by contacting support@onskilldemand.com.

We may restrict, suspend, or terminate access if we reasonably believe that:

Where practical and lawful, we will provide notice and a reasonable opportunity to remedy a remediable breach. Immediate action may be taken for urgent security, safety, fraud, legal, or abuse concerns.

On account deletion, the current application workflow removes application-owned companies, vacancies, candidates, assignments, interview data, and reports and requests deletion of the corresponding authentication identity. A minimal authentication-identity tombstone and deletion timestamp may be retained to prevent old sessions from recreating a deleted account. Data may remain temporarily in protected backups until normal rotation, or longer where legally required.

Sections that by their nature should survive termination—including ownership, confidentiality, disclaimers, liability, indemnity, dispute resolution, and lawful retention—will survive.

15. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available." OnSkillDemand disclaims implied warranties of merchantability, fitness for a particular purpose, satisfactory quality, non-infringement, accuracy, and uninterrupted availability.

We do not warrant that:

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded, including mandatory consumer protections.

16. Limitation of Liability

To the maximum extent permitted by law, OnSkillDemand will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profit, revenue, opportunity, goodwill, anticipated savings, business, or data, arising from or related to the Service, even if advised that such loss is possible.

To the maximum extent permitted by law, OnSkillDemand's total aggregate liability arising from or related to the Service and these Terms will not exceed the greater of:

These limitations do not apply to liability that cannot lawfully be limited, including liability for fraud, intentional misconduct, or other non-excludable obligations. Some jurisdictions do not allow particular exclusions, so portions of this section may not apply to you.

17. Indemnity for Professional or Organizational Use

If you use the Service for professional, commercial, or organizational purposes, you will indemnify and hold harmless OnSkillDemand from third-party claims, damages, penalties, and reasonable costs arising from:

This obligation applies only to the extent the claim was caused by your act or omission and does not cover loss caused by OnSkillDemand's own breach, negligence, or misconduct. It does not apply to consumers where prohibited by mandatory law.

18. Governing Law and Disputes

These Terms are governed by the laws of Ukraine, without regard to conflict-of-law rules, except where mandatory law in your place of residence provides protections that cannot be waived.

Before filing a court claim, the parties will attempt in good faith to resolve the dispute through written negotiation for at least 30 days after one party provides a reasonably detailed notice. Notices to OnSkillDemand must be sent to support@onskilldemand.com.

If negotiation does not resolve the dispute, it will be submitted to the competent courts of Ukraine, unless mandatory consumer or other applicable law gives you the right to bring proceedings elsewhere. Nothing prevents either party from seeking urgent interim relief or reporting a matter to a competent authority.

19. Changes to These Terms

We may update these Terms to reflect Service, provider, legal, security, or commercial changes. We will update the effective date and provide additional notice where required. Material changes will apply prospectively. If you do not agree to revised Terms, you must stop using the Service and may delete your account.

20. General

These Terms and the Privacy Policy are the entire agreement about the current Service unless additional written terms expressly apply. If a provision is unenforceable, it will be modified only as much as necessary, and the remaining provisions will continue. Failure to enforce a provision is not a waiver.

You may not assign these Terms without our written permission. We may assign them as part of a reorganization, financing, transfer of the Service, or sale of relevant assets, subject to applicable law. No agency, partnership, joint venture, fiduciary, or employment relationship is created between you and OnSkillDemand.

Headings are for convenience only. "Including" means "including without limitation." Electronic notices and agreements satisfy written-form requirements to the extent permitted by law.
